ERM acts for Haifa Chemicals on the sale of greenhouse gases emission reduction rights under the Kyoto Protocol to Citi Bank

Epstein Rosenblum Maoz (ERM) has acted for Haifa Chemicals on the sale of greenhouse gases' emission reduction rights under the Kyoto Protocol (CERs) until 2012 to Citi Bank. This is considered to be the biggest transaction of this kind in Israel and is estimated in USD 60 millions. 

Under the Kyoto Protocol, "Annex 1" developed countries are required to reduce their greenhouse gases (GHG) emissions to a certain level by 2012, and an international trade mechanism which allows them to purchase emission reduction rights from the "non-Annex 1" developing countries (including Israel) has been established.

ERM advises Delek Real Estate on an AIM takeover

Epstein Rosenblum Maoz (ERM) has advised Delek Belron International, a wholly owned subsidiary of Tel Aviv Stock Exchange-listed Delek Real Estate, in relation to all corporate, regulatory and financing aspects of the takeover offer for the minority shares in Jersey-based AIM-listed Delek Global Real Estate (DGRE).

The takeover offer was carried out by means of a scheme of arrangement before the Jersey court, and was subject to the City Code on Takeovers and Mergers.

The scheme was not accepted at a shareholders' meeting which took place on 5 May 2009.

Simon Marks joins ERM

Simon Marks joins Epstein Rosenblum Maoz (ERM) as a partner in the international corporate team.

Simon is a dual qualified English solicitor and Israeli advocate with many years of experience in a wide range of corporate work including, international IPOs, mergers and acquisitions, private equity, venture capital and commercial transactions.

Prior to joining Epstein Rosenblum Maoz (ERM), Simon founded and headed the UK practice group at Tel Aviv law firm Gross, Kleinhendler, Hodak, Halevy Greenberg & Co. (GKH). Whilst at GKH, Simon focused on international mergers and acquisitions and IPO transactions and was involved in some of Israel's largest deals in recent years, including: advising Israeli medical device company, Ventor Technologies Ltd., in its acquisition by Medtronic, Inc. for approximately $330 million; and advising Qumranet, Inc. in its acquisition by Red Hat, Inc. for approximately $115m.

Prior to working at GKH, Simon worked in the London office of Halliwells LLP. During his time at Halliwells Simon specialised in advising overseas companies, in particular on public offerings in the UK. Simon advised on successful AIM IPOs for several Israeli companies, including: Dori Media Group Ltd., Gilat Satcom Ltd., MTI Wireless Edge Ltd. and iPoint Media, and has extensive knowledge and experience of the AIM market.

The leveraged buy-out (LBO) of NDS Group PLC by News Corp and Permira Advisers LLP has been completed

Epstein Rosenblum Maoz (ERM) has advised JPMorgan and Morgan Stanley (as syndication arrangers) on the NDS Group PLC multi-billion dollar take-private by News Corp and subsequent acquisition of a 51% stake by Permira Advisers LLP. 

News Corp and Permira offered NDS' investors around US$60 per share, and cut News Corp's stake in the business from 72% to 49%, while Permira will take on a 51% controlling stake.  

Debt for the complex transaction was provided by JPMorgan and Morgan Stanley. The buyout of NDS completed in February 2009.

NDS is a UK-based Nasdaq-traded provider of the encryption technology and smartcards that News Corp's pay television investments including Foxtel in Australia, BSkyB in Britain and Sky Italia use to ensure their programs can only be watched by paying subscribers.

ERM sponsors the annual conference of the Renewable Energy Association of Israel

Epstein Rosenblum Maoz (ERM) sponsored the annual conference of the Renewable Energy Association of Israel themed "Renewable Energies in Israel 2009". The conference was held in collaboration with the Israeli Institute of Energy and Environment and the School for Oils & Energy Studies, and took place on 29 January 2009 at the Eretz Israel Museum.

The conference was attended by several hundred professionals, businessmen and academics. Among others, the minister of National Infrastructures, Mr. Binyamin (Fouad) Ben-Eliezer, and the minister of Environmental Protection, Mr. Gideon Ezra, addressed the audience.

Amnon Epstein and Itai Yonai of Epstein Rosenblum Maoz (ERM) were asked by "The Marker" magazine to comment on the potential for Israeli companies to benefit from reducing their greenhouse gases (GHG) emissions.

Under the Kyoto Protocol, "Annex 1" developed countries are required to reduce their greenhouse gases (GHG) emissions to a certain level by 2012, and an international trade mechanism which allows them to purchase emission reduction rights (Certified Emissions Reduction Units – CERs) from the "non-Annex 1" developing countries (including Israel) has been established.  In addition, a parallel mechanism has been developed to allow the commercialisation and sale of non-certified emission reduction rights (Verified Emissions Reduction Units – VERs), and Israeli companies can benefit from this mechanism as well. Amnon Epstein and Itai Yonai mentioned that the potential is great (the global market is expected to reach US$100bn in the coming year), but the opportunity may only last until 2012.

Epstein Rosenblum Maoz (ERM) acts for EDF Energies Nouvelles in connection with the tenders for the construction and operation of thermo-solar and photovoltaic power plants in Ashalim published by the Israeli Government

Epstein Rosenblum Maoz (ERM) acts for EDF Energies Nouvelles (part of the French Électricité de France (EDF) group) in connection with the tenders for the construction and operation of thermo-solar and photovoltaic power plants in Ashalim.

In 2008, the Israeli government published two BOT tenders for the construction, operation and maintenance of thermo-solar and photovoltaic power plants, for 25 years. The two thermo-solar power plants are expected to have a capacity of 80-125 megawatts each, and the value of the tender is estimated at about USD 650 millions. The photovoltaic power plant is expected to have a capacity of 15-30 megawatts and the value of the tender is estimated at about USD 70 millions.

ERM advises the OECD in respect of the proposed accession of Israel

Epstein Rosenblum Maoz (ERM) has been chosen to advise the Organisation for Economic Co-operation and Development (OECD) in respect of various legal aspects in connection with the potential accession of Israel to the organisation. 

The advice to date has included the rendering of a wide scope report regarding the legislation applicable to Israeli public companies and various other related corporate law matters.  The report also includes a comparison between the prevailing Israeli legal system and a number of Anglo-American and Continental legal systems.

Amnon Epstein and Itai Yonai of ERM write about new government regulations in the photo-voltaic (PV) alternative energy sector

Amnon Epstein and Itai Yonai of Epstein Rosenblum Maoz (ERM) write to The Marker magazine about new government regulations in the photo-voltaic (PV) alternative energy sector, which enable home production of electricity and the sale of such electricity to the Electricity Company.

According to the new regulations, any person may install a photo-voltaic (PV) system (up to a maximum capacity of 15KW) in his or her premises, and to sell any access electricity produced by such system to the Electricity Company at subsidised prices for a period of 20 years. The aim of the initiative is to encourage private consumers to produce environmental-friendly electricity by guaranteeing a relatively quick return of investment.

Amnon Epstein and Itai Yonai mention that there are still complex tax, planning and regulatory issue which need to be resolved in order to ensure effective implementation of the new regime.

Jackie Donner joins Epstein Rosenblum Maoz (ERM) as an associate and will concentrate on corporate and M&A deals. 

Prior to joining ERM, Jackie worked at London magic circle firm, Freshfields Bruckhaus Deringer as an associate in the corporate department.

ERM sponsors funding event for the Youth ward at the "Shalvata" mental health hospital

Epstein Rosenblum Maoz (ERM) was one of the "gold" sponsors of the voluntary project "Direction of the Wind", a fund-raising event in support of the youth ward at the "Shalvata" psychiatric hospital which took place at Barbor House on 1 March 2008.  The revenues from the event will be used to facilitate various workshops and other enrichment aftercare activities for youth hospitalised at "Shalvata".

The event was the initiative of the social network website "Beshutaf", whose members are active in various social and educational projects.  ERM has provided "Beshutaf" pro bono legal advice since going online.

Epstein Rosenblum Maoz (ERM) has acted for Ecotraders Ltd on an investment (in an undisclosed sum) by the TEP, a UK AIM-listed fund. This is the second round of investment in the company, following a seed investment in which Meitav Investment House acquired 25% of the company's shares.

Ecotraders is a leading Israeli greenhouse emissions credits broker and trader.  The trade in greenhouse emissions credits is the result of the Kyoto Protocol and independent EU legislation.  The sector has demonstrated a two-digit growth-rate in recent years and has already reached an annual turnover of dozens of billions of Euros.  The company, which is the only Israeli company that specialises solely in this field, is involved in over 15 projects in Israel alone, and its clients include local municipalities as well as leading Israeli publicly-traded companies.  Recently, Ecotraders has started operating in the Far East, mainly in China and Vietnam.

TEP, a UK AIM-listed fund, is a prominent trader in greenhouse emissions credits and has an annual turnover of around 300 million US Dollars.

Epstein Rosenblum Maoz (ERM) has acted for the sellers on the sale of a 70% stake in Risotech Ltd to Elad Software Systems Ltd for an undisclosed sum. 

Risotech was established in 2002 and provides software infrastructure and integration solutions in the spheres of JAVA, databases and SOA architectures. Among other things Risotech is an Advanced Business Partner of IBM, and holds exclusive distribution rights of several other leading software solutions.

Elad Systems was established in 1982, and is one of the leading private companies in the Israeli IT business.  Elad leads the market with solutions for knowledge and content management and outsourcing projects, and is a Microsoft Gold Partner.

Epstein Rosenblum Maoz (ERM) partners Amnon Epstein and Nimrod Rosenblum commented to The Marker magazine on the prospects of UK-Israeli business cooperation in 2008

Amnon and Nimrod were asked to comment on the prospects of Israeli companies attracting investments from UK investors and raising money in the UK, and on the business opportunities that exist in the UK and might interest Israeli companies.

Amnon and Nimrod stated that despite the recent global "credit crunch" and the projections of UK economy going into a period of low growth rates, ample business opportunities lie in the UK for Israeli companies. For example, various small and medium size UK companies may become takeover targets, and Israeli companies in the green-tech sector may attract much attention from UK investors.  In addition, it should be borne in mind that London is still (together with New York) the world's financial centre, and Israeli companies establishing presence in the UK may enjoy increased international exposure and better access to capital.

Indeed, the heyday of raising capital on AIM might be over for the next year or two, but good Israeli companies with solid track records and clear business plans may still find London to be a very welcoming city.

For those Israeli companies wishing to do business with UK counterparts, Amnon and Nimrod suggest to understand and adapt to the British way of doing business, in which much emphasise is put on planning and structuring the process in advance, relying on professional advisors with adequate market knowledge, and creating and maintaining good working relationships in the City.

Epstein Rosenblum Maoz (ERM) associate Roni Abelski commented to The Marker magazine on a recent reform to German tax legislation. 

The reform, which will come into force in 2008, is aimed at reducing German companies' tax levels on the one hand, and introducing new limitations on companies' ability to deduct finance-related expenses on the other.

The reform is of great importance to many Israeli investors operating in Germany, and Roni has commented on its implications and the possible ways to avoid increased costs following the implementation of such reform.

Epstein Rosenblum Maoz (ERM) has acted for Taya Telecommunications Ltd on the acquisition of UK-based Well Trade Services Limited (WTS) and C2 Media UK Ltd (C2). 

WTS and C2 were founded in 1996 and provide broadcasting equipment, technology, engineering and integration services to broadcasting and production companies and television studios in the UK, Europe, Africa and the Middle East. The WTS/C2 group comprises of various other UK and EU-based subsidiaries.

The transaction is due to close in November.

Epstein Rosenblum Maoz (ERM) has acted for the sellers on the sale the Mitchatnim Group print business and 80% of its Internet business to the Israeli Yellow Pages Group.  The transaction was based on a NIS25,000,000 enterprise value for the Mitchatnim Group. 

Mitchatnim is a leading Israeli print and Internet-based business directory and its acquisition is part of the Israeli Yellow Pages Group strategy to expand and diversify fhe scope of its operations.   The Israeli Yellow Pages Group has been recently acquired by Australia-based private equity fund Babcock & Brown.
